Terms of use

Draft: this document will be reviewed by a lawyer and completed before the service opens.

These terms govern the use of Seedinity, a networking service where people with ideas and projects meet investors, partners and other people with ideas. Seedinity puts members in touch; it does not offer, advise on, arrange or handle investments.

The service

  • Seedinity is an online networking service, operated by DG Technology SRL, Brussels, Belgium (company number 0824.504.453), contact privacy@seedinity.com. It lets founders, investors and idea people present themselves and their projects, find each other and talk.
  • By creating an account you accept these terms, the community guidelines and the privacy policy.

Who can join

  • You must be at least 18 years old, give accurate information about yourself and, if you act for a company or a fund, be allowed to do so. One account per person.
  • You may not join if we have previously closed your account for breaking these terms.

Seedinity is not an investment service

  • Seedinity only puts people in touch. It is not a crowdfunding platform, a bank, an investment firm or an adviser. It does not offer, recommend, arrange or carry out investments, and it never receives, holds or transfers money for an investment.
  • No project page is an offer to invest or an invitation to buy securities. We do not check the accuracy of projects, their figures or their prospects. Any discussion or agreement about an investment takes place directly between the members concerned, outside Seedinity.
  • Before any agreement, do your own checks and, if needed, get independent legal, tax and financial advice. Investing in young companies carries a high risk, including losing everything you put in.
  • Members who raise money are responsible for following the rules that apply to them (for example on offers to the public and prospectuses). Seedinity is not responsible for the agreements members make.

Your account

  • Keep your password to yourself: you are responsible for what is done with your account.
  • You can hide your profile or delete your account at any time in My account, Privacy and data.

What you publish

  • You remain the owner of your texts, photo, projects and documents. You allow us to store them and show them to other members as described in the privacy policy, only to run the service, for as long as they are online.
  • What you publish must be true, yours to share, and follow the community guidelines. Don’t publish confidential information of others, or anything illegal or that infringes someone else’s rights.

Projects and access requests

  • Founders and idea people can publish projects. Every logged-in member sees a project’s teaser; its owner decides who sees the full details by accepting or declining access requests, and can take access back at any time.
  • Projects are checked before they are published (automatically and, when in doubt, by our team). We can refuse or take down a project that breaks these terms, and tell its owner why.
  • Details you receive through an access request are shared with you in confidence: use them only to assess the project and don’t pass them on without the owner’s permission.

Rules of conduct

  • Forbidden in particular: promising or guaranteeing returns, asking members to send money, pay fees or use crypto or trading platforms, any scam or misleading information, pretending to be an investor or a company you are not, harassment or insults, spam, and any illegal activity.
  • Never send money to a member, and never pay a fee to “release” funds. See the safety tips.

Moderation, suspension and appeal

  • Members can report a profile, a project or a message. Our team reviews reports and can refuse a photo or a project, remove a badge, or suspend an account for 7 days, 30 days or permanently.
  • Every decision tells you the rule concerned and, where relevant, an explanation. A suspended member can appeal once from their account; a person reviews the appeal.
  • In serious cases (fraud, danger for someone, crime) we may inform the competent authorities.

Messages and their limits

  • To limit spam and scams, free members wait a few minutes between two messages, can start a limited number of new conversations per day and send a limited number of access requests per week. The current limits are shown when they apply. A first message between a project owner and a member who asked for access to the project is not counted.
  • Premium plans can lift these limits.

Premium

  • Premium is a subscription to features of the site. It has nothing to do with any investment and gives no priority with any investor or project.
  • Premium plans, their price (including VAT), their duration and what they include are shown on the Premium page before you choose. Premium can also be granted by our team, for example during a launch offer.
  • When online payment is available, a subscription renews automatically at the end of each period until you cancel it; you can cancel at any time and keep Premium until the end of the paid period.
  • As a consumer in the European Union you have 14 days to withdraw from a paid subscription. If you ask for Premium to start straight away, the part of the period already used may be charged.

Verification badges

  • The verified badge means that a member’s selfie matched their profile photo. The Verified investor badge means that our team found reasonable signs that the member invests (such as their LinkedIn profile or their company’s website). Neither badge is a guarantee about a person, their money or their intentions.

Responsibility

  • We do our best to keep the service available and safe, but cannot guarantee it will work without interruption, that what members publish is accurate, or that every member behaves well. Each member is responsible for what they publish, the checks they make and the agreements they enter into.
  • Nothing in these terms limits liability where the law does not allow it, nor your rights as a consumer.

Ending

  • You can delete your account at any time. We may close an account that seriously or repeatedly breaks these terms, after a decision explained to the member.

Changes and applicable law

  • We will tell you about important changes to these terms before they apply. If you do not accept them, you can delete your account.
  • These terms are governed by Belgian law. As a consumer you keep the protection of the law of your country of residence and can go to its courts.
